|---|---|
| Business model | MySubbies operates a managed marketplace. Contractors may accept or reject Job Offers; no minimum work is promised. |
| Customer price | MySubbies sets or displays the customer price and the scope offered through the platform. |
| Platform fee | Unless a Job Offer states otherwise, MySubbies retains 18% and the Contractor Payout is 82%, with GST treatment shown or otherwise specified. |
| Before acceptance | The Job Offer must show the scope, location, timing and exact Contractor Payout or calculation method. |
| Contractor responsibility | The Contractor is responsible for lawful, safe, licensed, insured and competent delivery of accepted Trade Services. |
| Customer contracting party | Unless the Booking expressly states another lawful structure, the Contractor supplies the Trade Services to the Customer and MySubbies supplies platform services. |
1.1 These Contractor Portal Terms & Conditions (Terms) are between Mysubbies Holdings Pty Ltd (ABN 69 693 675 268) (MySubbies, we, us) and the individual, sole trader, partnership or company identified in the contractor onboarding record (Contractor, you).
1.2 The agreement begins when an authorised person completes onboarding and accepts these Terms electronically. Portal authentication, acceptance records and a retained copy of the accepted version may be used to prove acceptance.
1.3 These Terms include each accepted Job Offer, the Privacy Policy, applicable category or rate-card rules shown before acceptance, and any policy expressly incorporated by link and made available to download. If documents conflict, the accepted Job Offer controls for that job, followed by these Terms, then incorporated policies.
1.4 We may update these Terms on reasonable notice. A material change applies prospectively only after you accept it; it does not alter an already accepted Job Offer unless required by law or agreed by both parties. You may stop using the platform instead of accepting a future version.
2.1 MySubbies provides technology, customer acquisition, booking administration, communications, quality controls and payment collection. Except where a Booking expressly states that MySubbies is the supplier, MySubbies does not itself perform the Trade Services and does not employ the Contractor or its Personnel.
2.2 The Contractor operates an independent business. Subject to law and the accepted scope, the Contractor decides whether to accept a Job Offer and controls the manner of performing accepted work. The Contractor may work for others and is not guaranteed any volume, territory, revenue or exclusivity.
2.3 The Contractor supplies and pays for its own labour, tools, equipment, vehicles, devices, consumables and business systems unless a Job Offer states otherwise. It bears its business expenses and risk and is responsible for tax, GST, superannuation where legally payable, leave, workers compensation and entitlements of its Personnel.
2.4 Nothing in these Terms overrides the legal character of the actual relationship. Neither party may represent an employment relationship as contracting, or use these Terms to avoid a workplace entitlement that the law requires.
2.5 The Contractor cannot bind MySubbies, make promises on its behalf, incur liabilities in its name or represent itself as an employee, agent, partner, franchisee or authorised representative of MySubbies.
The Contractor warrants on onboarding and continuously while using the portal that:
MySubbies may verify information with issuing bodies or service providers where lawful. Approval for one category or job does not approve another and may be withdrawn where requirements are no longer met.
4.1 A Job Offer may state the proposed scope, Customer location, attendance window, customer price, Platform Fee, GST treatment, Contractor Payout, required evidence, qualifications and special conditions. It is an invitation to accept, not a promise of allocation.
4.2 A job is allocated only when the portal confirms acceptance. Where multiple eligible contractors receive an offer, the first valid system-confirmed acceptance may receive the job. A notification delay, cached screen or technical error does not create an allocation.
4.3 Before accepting, the Contractor must assess the available information and its capacity to perform. Acceptance commits the Contractor to the scope, time and payout displayed, subject to an approved Variation.
4.4 The Contractor may decline a Job Offer without penalty. After acceptance, cancellation is permitted for genuine safety, legal, health, emergency or materially inaccurate-scope reasons, but the Contractor must notify MySubbies promptly and provide reasonable supporting information.
For every accepted job, the Contractor must:
The Contractor must not engage in harassment, discrimination, violence, threatening conduct, intoxication at work, dishonesty, unsafe conduct, false reviews or misleading claims.
6.1 The Contractor is responsible for all employees, subcontractors and other persons it engages (Personnel), including their pay, entitlements, supervision, conduct, licences, training and insurance.
6.2 The Contractor may use suitable Personnel only where permitted by the Job Offer and law. Prior MySubbies approval may be required for identity, safety, licence, customer-consent or sensitive-site reasons. The Contractor remains fully responsible for the job and must not substitute an unverified person where verification is required.
6.3 The Contractor must ensure its arrangements with Personnel comply with workplace, superannuation, migration, child-safety, discrimination, modern slavery and other applicable laws.
7.1 Unless the Job Offer expressly states otherwise, the Platform Fee is 18% of the relevant customer price and the Contractor Payout is 82%. The portal will show the exact payout or its calculation before acceptance.
7.2 The Job Offer controls whether displayed amounts are GST-inclusive or GST-exclusive and whether payment-provider fees, approved materials, discounts, refunds or other adjustments are included. The Contractor must verify its GST status and notify changes immediately.
7.3 MySubbies may issue recipient-created tax invoices only if the legal requirements are met and both parties have a valid agreement to do so. Otherwise, the Contractor must provide compliant tax invoices when required.
7.4 MySubbies may change future pricing or fees on reasonable notice. A change does not alter an accepted Job Offer without agreement or legal necessity.
8.1 The Contractor appoints MySubbies as its limited payment-collection agent for amounts the Customer pays for Contractor-supplied Trade Services, unless the Booking states another lawful structure. Payment to MySubbies discharges the Customer's corresponding payment obligation to the extent received.
8.2 Subject to the Job Offer, MySubbies will pay the Contractor after cleared customer funds are received and required completion evidence, certificates and payment details are verified. The expected payout timing will be stated in the portal or contractor payment schedule.
8.3 MySubbies may place a reasonable, proportionate hold on a disputed amount while investigating a genuine dispute, refund, chargeback, suspected fraud, safety incident, missing certificate or materially incomplete evidence. We will provide the reason, the amount affected and a reasonable review pathway, unless law or fraud-prevention requirements restrict disclosure.
8.4 MySubbies may set off only an amount that is properly due and connected with the Contractor's platform activity, after giving an itemised statement and a reasonable opportunity to dispute it. Undisputed amounts should not be withheld merely because another amount is disputed.
8.5 If a refund or chargeback results from the Contractor's breach, defective or incomplete work, unauthorised variation, misrepresentation or fraud, the Contractor must repay the attributable amount and reasonable direct costs, subject to evidence and applicable law. The Contractor is not responsible to the extent caused by MySubbies, the Customer, a payment provider or an event outside its reasonable control.
9.1 The Contractor must not agree to or perform chargeable changes outside the platform. It must submit the proposed change, reason, supporting evidence, revised price, GST treatment and timing and wait for recorded approval and, where required, payment authorisation.
9.2 Emergency work reasonably required to prevent immediate injury or material property damage may be performed without prior approval only to the minimum necessary extent, where lawful. The Contractor must document and report it as soon as practicable.
9.3 The Contractor must comply with mandatory written variation, cooling-off, progress-payment, deposit, warranty and contract-form requirements applying to domestic building or regulated trade work.
10.1 The Contractor must keep availability current and notify delays promptly. An unjustified late cancellation, abandonment or no-show may lead to reassignment, customer remediation, a fair performance review, recovery of proven direct loss caused by the breach, or suspension.
10.2 MySubbies will consider illness, emergency, unsafe conditions, inaccurate scope, regulatory restrictions and events beyond reasonable control. Any fee or adjustment must be disclosed, proportionate and not a penalty.
11.1 The Contractor must not solicit or accept off-platform payment for an accepted job, Variation or warranty/callback work introduced through MySubbies.
11.2 For 12 months after the Contractor's last MySubbies job for a Customer, the Contractor must not knowingly use MySubbies confidential information or introduction to divert substantially similar repeat work from the platform. This restriction does not apply to a demonstrable pre-existing customer relationship disclosed before job acceptance, a general advertisement not targeted using MySubbies information, or work MySubbies authorises in writing.
11.3 This clause applies only to the minimum extent reasonably necessary to protect MySubbies' legitimate interests and enforceable by law. MySubbies may recover proven loss or unpaid Platform Fees attributable to a breach; no automatic penalty applies unless separately stated and legally enforceable.
12.1 The Contractor may use Customer personal information only to quote for, schedule, perform, document and support the relevant job, or as required by law. It must not sell it, use it for unrelated marketing, contact a Customer outside the legitimate service relationship or disclose it without authority.
12.2 The Contractor must apply reasonable security controls, restrict access to authorised Personnel, avoid unnecessary local copies, securely delete or return information when no longer needed, and immediately report suspected loss, misuse, unauthorised access, phishing, credential compromise or privacy breach.
12.3 The Contractor must comply with applicable privacy and spam laws and MySubbies' Privacy Policy. MySubbies may process Contractor information for onboarding, identity and licence checks, allocation, payments, safety, fraud prevention, support, analytics, legal compliance and dispute handling as described in that policy.
13.1 MySubbies owns or licenses the portal, software, brand, databases, rate cards, workflows and platform-generated materials. The Contractor receives a limited, revocable, non-transferable right to use them only for authorised platform activity.
13.2 The Contractor retains ownership of materials it owned independently of the platform. Unless a Job Offer states otherwise, the Contractor owns new contractor-created materials, but grants MySubbies a worldwide, royalty-free, non-exclusive licence to store, reproduce and use profile content and job evidence for operating the platform, customer support, compliance, safety, insurance, dispute resolution and agreed marketing. MySubbies will not use identifiable Customer content for public marketing without an appropriate legal basis.
13.3 The Contractor must not scrape, reverse engineer, interfere with, probe or bypass the portal; share accounts; introduce malware; manipulate allocation or ratings; create fake records; or use MySubbies branding without written permission.
14.1 Each party must comply with the health and safety duties that apply to it. Those duties may overlap and cannot be transferred away by contract. The Contractor must consult, cooperate and coordinate with MySubbies, Customers and other duty holders as reasonably required.
14.2 The Contractor must immediately report serious hazards, injuries, near misses, property damage, regulator attendance, asbestos or hazardous-material concerns, suspected illegal activity, material complaints and compliance failures. It must preserve evidence and cooperate with lawful investigations and insurance claims.
14.3 The Contractor must retain job, tax, employment, safety, licence, variation, certificate and payment records for the periods required by law and provide relevant records on reasonable request, subject to privacy and legal privilege.
15.1 Before accepting work and throughout performance, the Contractor must maintain insurance appropriate to its services and risk, including public liability of at least AUD $20,000,000, workers compensation where required, motor vehicle and plant/equipment cover, and professional indemnity where design, advice or certification exposure exists.
15.2 The Contractor must provide certificates of currency on request, comply with policy conditions and notify MySubbies promptly of cancellation, material limitation or a relevant claim. MySubbies' verification does not reduce the Contractor's responsibility to maintain adequate cover.
16.1 Each party is responsible for loss to the extent caused by its breach, negligence, wilful misconduct, unlawful act or infringement of third-party rights.
16.2 The Contractor indemnifies MySubbies and its officers and personnel against third-party claims, regulatory liabilities and reasonable direct costs to the extent caused by the Contractor's or its Personnel's breach, negligence, unlawful conduct, unsafe work, property damage, personal injury or intellectual-property infringement.
16.3 An indemnified party must take reasonable steps to mitigate loss and must not recover twice for the same loss. The indemnity is reduced to the extent the loss was caused by MySubbies, the Customer or another person. It does not apply to indirect loss unless that loss was reasonably foreseeable and directly connected with the relevant breach.
17.1 Nothing in these Terms excludes, restricts or modifies a guarantee, right, remedy or liability that cannot lawfully be excluded, including under the Australian Consumer Law, workplace laws or health and safety laws.
17.2 To the maximum extent permitted by law, MySubbies is not liable for loss of profit, revenue, opportunity, goodwill or anticipated savings, or indirect or consequential loss, except to the extent such loss cannot be excluded or was caused by fraud or wilful misconduct.
17.3 Subject to clause 17.1, MySubbies' aggregate liability arising from platform services in any 12-month period is limited to the greater of the Platform Fees retained from that Contractor in that period and AUD $500. This cap does not apply to fraud, wilful misconduct, breach of confidentiality or privacy, infringement of intellectual property, personal injury or property damage caused by MySubbies, or amounts MySubbies must remit after collection.
17.4 The portal may be unavailable or contain errors. MySubbies will use reasonable care in providing platform services but does not guarantee uninterrupted access, job availability, Customer conduct, site conditions or payment where Customer funds are not received, except as expressly promised or required by law.
18.1 MySubbies may temporarily restrict access or job offers where reasonably necessary for safety, expired credentials, suspected fraud, cybersecurity, serious complaints, repeated performance failure, legal compliance or material risk to Customers or the platform.
18.2 Except where urgent action, law or fraud prevention requires otherwise, MySubbies will provide the reason, relevant information, a reasonable opportunity to respond and an internal review pathway. Decisions will be proportionate and will consider available evidence.
18.3 Suspension does not remove obligations concerning accepted jobs, customer safety, evidence, refunds, confidentiality or payment of undisputed amounts.
19.1 Either party may terminate participation on 14 days' written notice. Either party may terminate immediately for serious or repeated material breach, fraud, unlawful work, insolvency, violence, serious safety risk, loss of a required licence or insurance, or misuse of Customer data.
19.2 On termination, the Contractor must stop using the portal and branding, return or delete protected information, and cooperate to complete, transfer or safely close accepted jobs. Accrued payment rights, disputes, confidentiality, privacy, intellectual property, non-circumvention, indemnities, liability limits and record obligations survive as needed.
20.1 A party raising a dispute should give written details and supporting evidence. The parties will first attempt good-faith negotiation between authorised representatives, followed by mediation in Victoria if both agree.
20.2 Nothing prevents urgent court relief, debt recovery, a report to a regulator, an insurance notification, or use of a statutory complaint or review process. Customer complaints and consumer guarantees must be handled promptly and lawfully.
21.1 Notices may be sent through the portal or to the latest registered email or address. Electronic records and signatures may be used where lawful.
21.2 The Contractor must not assign or transfer an accepted job or this agreement without MySubbies' written consent, not to be unreasonably withheld where the proposed replacement satisfies onboarding requirements. MySubbies may assign these Terms as part of a genuine business restructure or sale on notice, provided this does not materially reduce the Contractor's rights.
21.3 If a provision is invalid or unenforceable, it is read down to the minimum extent necessary and otherwise severed. Failure to enforce a right is not a waiver. These Terms do not exclude rights created by law.
21.4 These Terms are governed by the laws of Victoria, Australia. The parties submit to courts with jurisdiction in Victoria, subject to any mandatory right to bring proceedings elsewhere.
